This Website Maintenance Services Addendum (“Addendum”) supplements the Terms and Conditions of Alpha27, Inc. and applies to clients who purchase ongoing website maintenance services.
1. Scope of Maintenance Services
Maintenance services may include:
- WordPress core updates
- Theme updates
- Plugin updates
- Routine security monitoring
- Uptime monitoring (if included in plan)
- Minor content updates (as defined in service agreement)
- Basic performance checks
Specific services provided are governed by the client’s written agreement or maintenance plan.
Maintenance services do not include full website redesigns, feature development, major structural changes, or custom coding unless separately agreed upon in writing.
2. No Guarantee of Continuous Performance
Alpha27 performs updates based on best practices; however:
- Plugin or theme updates may introduce conflicts.
- Third-party software may become deprecated.
- Hosting providers may change configurations.
- Platform updates (WordPress, PHP, etc.) may affect functionality.
Alpha27 does not guarantee uninterrupted website performance.
3. Third-Party Software Disclaimer
Websites may rely on third-party plugins, themes, APIs, or external services.
Alpha27 is not responsible for:
- Plugin vulnerabilities
- Theme defects
- Abandoned software
- API changes
- Payment processor outages
- Third-party integration failures
If third-party software causes instability, remediation may require additional billable work.
4. Security Limitations
Alpha27 implements reasonable maintenance practices. However:
- No website can be guaranteed 100% secure.
- New vulnerabilities may emerge without notice.
- Zero-day exploits are outside reasonable control.
Alpha27 is not liable for:
- Malware infections
- Brute force attacks
- Credential leaks caused by client
- Compromised third-party plugins
- SEO damage resulting from hacks
Emergency recovery services may be billed separately.
5. Client Responsibilities
Client agrees to:
- Maintain strong password practices
- Avoid installing unauthorized plugins
- Not share administrative credentials without notice
- Promptly notify Alpha27 of website issues
If client installs software without approval, Alpha27 is not responsible for resulting issues.
6. SEO & Performance Disclaimer
Maintenance services do not guarantee:
- Search engine rankings
- Traffic increases
- Page speed scores
- Conversion rates
Algorithm changes, hosting factors, and third-party scripts can impact performance beyond Alpha27’s control.
7. Response Time & Support
Unless otherwise stated in writing:
- Maintenance services are provided during normal business hours.
- Response times are goals, not guarantees.
- Emergency or after-hours support may incur additional fees.
8. Backups
Backups may be performed periodically if included in the plan.
However:
- Backups are not guaranteed unless expressly stated in writing.
- Client remains responsible for preserving mission-critical data.
- Alpha27 is not liable for incomplete or corrupted backups.
9. Suspension for Non-Payment
Maintenance services may be suspended for non-payment.
If suspended:
- Updates may cease
- Security monitoring may stop
- Risk exposure may increase
Alpha27 is not responsible for issues arising during suspension due to non-payment.
10. Limitation of Liability (Maintenance Specific)
To the fullest extent permitted by law, Alpha27’s liability for maintenance-related claims shall not exceed:
The total maintenance fees paid in the three (3) months preceding the event giving rise to the claim.
Alpha27 shall not be liable for:
- Lost profits
- Business interruption
- SEO ranking loss
- Security incidents
- Data corruption
- Reputational damage
11. Indemnification (Maintenance Specific)
Client agrees to indemnify and hold harmless Alpha27 from any claims arising out of:
- Client website content
- Regulatory violations
- Inaccurate claims published on website
- Client-installed software
- E-commerce or transaction disputes
- Privacy law violations
This obligation survives termination of services.
12. Termination of Maintenance
Either party may terminate maintenance services with written notice.
Upon termination:
- Alpha27 is not responsible for future updates.
- Client assumes responsibility for website maintenance and security.
- Final backups may be provided upon request within 14 days.
13. Entire Maintenance Agreement
This Addendum supplements the main Terms and Conditions. In case of conflict, the Terms and Conditions govern unless explicitly stated otherwise.
