These Terms and Conditions (“Terms”) govern your use of the website and services provided by Alpha27, Inc. (“Alpha27,” “Company,” “we,” “us,” or “our”).

By accessing this website or engaging our services, you agree to be bound by these Terms.

If you do not agree, do not use this website or our services.


1. Services Overview

Alpha27 provides services including but not limited to:

  • Website design and development
  • Search engine optimization (SEO)
  • Paid advertising management
  • Digital marketing strategy
  • Consulting services
  • Website hosting (for certain clients)

Specific deliverables, timelines, and pricing are governed by separate written agreements, proposals, or invoices.


2. No Guarantee of Results

Alpha27 provides services based on industry best practices and professional judgment. However:

  • We do not guarantee specific search engine rankings.
  • We do not guarantee advertising performance results.
  • We do not guarantee lead volume, traffic increases, or revenue growth.
  • Marketing performance depends on external factors beyond our control, including competition, budgets, market conditions, and algorithm changes.

You acknowledge that digital marketing results vary.


3. Intellectual Property

A. Website Content

All content on this website, including text, graphics, branding, logos, layout, and design elements, is the property of Alpha27, Inc. and is protected by intellectual property laws.

You may not copy, reproduce, modify, distribute, or exploit any content without prior written consent.


B. Client Work Product

Ownership of work product is governed by written service agreements. Unless otherwise stated:

  • Client receives rights to final delivered materials upon full payment.
  • Alpha27 retains ownership of proprietary tools, templates, processes, frameworks, and pre-existing intellectual property.
  • Alpha27 may display completed projects in portfolios and marketing materials unless otherwise agreed in writing.

C. License to Use Client Materials

Client grants Alpha27 a non-exclusive license to use logos, trademarks, content, and materials necessary to perform services.

Client represents they have the legal right to provide such materials.


4. Payment Terms

Payment terms are defined in individual service agreements, proposals, or invoices.

Unless otherwise stated:

  • Invoices are due upon receipt.
  • Late payments may incur interest at 1.5% per month or the maximum permitted by law.
  • Services may be suspended for non-payment.

All fees are non-refundable unless explicitly stated in writing.


5. Payment Dispute Protections

In the event of a chargeback or payment dispute:

  • Alpha27 reserves the right to immediately suspend services.
  • Client remains responsible for all fees incurred.
  • Client agrees to reimburse Alpha27 for any chargeback fees, legal fees, or administrative costs related to improper disputes.
  • Disputes must be raised in writing within 7 days of invoice issuance.

Failure to timely dispute constitutes acceptance of charges.


6. Client Responsibilities

Client agrees to:

  • Provide accurate information
  • Approve deliverables in a timely manner
  • Maintain compliance with applicable laws
  • Adhere to advertising platform policies

Client is solely responsible for the legality of their products, services, website content, and marketing claims.


7. Third-Party Platforms

Alpha27 is not responsible for:

  • Search engine algorithm changes
  • Social media policy changes
  • Account suspensions
  • Platform outages
  • Hosting provider interruptions
  • Data inaccuracies from analytics providers

Use of third-party services is governed by their respective terms.


8. Limitation of Liability

To the fullest extent permitted by law, Alpha27 shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or revenue
  • Business interruption
  • Loss of data
  • Reputational harm

Total liability for any claim shall not exceed:

The total amount paid to Alpha27 in the six (6) months preceding the claim.

If no payment was made, liability shall not exceed $500.

Claims must be brought within one (1) year from the date the cause of action arises.


9. Indemnification

You agree to indemnify, defend, and hold harmless Alpha27, Inc., its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising from:

  • Your breach of these Terms
  • Your website content or marketing claims
  • Violations of advertising or consumer protection laws
  • Intellectual property infringement related to materials you provide
  • Misuse of deliverables
  • Regulatory violations related to your business

This indemnification obligation survives termination of services.


10. Data & Hosting

If Alpha27 provides hosting services:

  • Data remains the property of the client.
  • Client is responsible for lawful data collection practices.
  • Alpha27 is not liable for data loss caused by third-party providers beyond reasonable control.

Backup procedures may be offered but are not guaranteed unless explicitly included in a written agreement.


11. Termination

Alpha27 may suspend or terminate services if:

  • Payment is not received
  • Client violates laws or platform policies
  • Client breaches these Terms

Termination does not relieve Client of payment obligations for services already rendered.


12. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any permitted court action shall be brought in Orange County, Florida.


13. Arbitration Agreement

Any dispute arising out of or relating to these Terms or services provided shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

Arbitration shall take place in Orange County, Florida.

Each party shall bear its own legal fees unless otherwise required by law.


Class Action Waiver

All claims must be brought on an individual basis. Class, consolidated, or representative actions are not permitted.


Exceptions

Either party may:

  • Seek relief in small claims court
  • Seek injunctive relief to protect intellectual property rights

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.


15. Modifications

Alpha27 may update these Terms at any time. Continued use of the website constitutes acceptance of modifications.
